What is One Person Company (OPC)?


As indicated by the Companies Act, 1956, Minimum 7 members are required to fuse a Public restricted organization while just 2 individuals are expected to enroll a private constrained organization. Registration Process of OPC (One Person Company):

* For Name availability under RUN Web administration, there is no earlier prerequisite to acquire DSC and DIN. It tends to be finished with account login on the MCA entrance.

1. Apply for DSC (Digital Signature Certificate): The first step is to obtain the Digital Signature Certificate (DSC) of the proposed Director which required the following documents:


  • Aadhaar card
  • PAN card
  • Photo
  • Address Proof
  • Phone Number
  • Email Id


2. Apply for DIN: Once the DSC (Digital Signature Certificate) is made, the next level is to apply for the DIN (Director Identification Number) of the recommended Director in SPICe form with the name and the address proof of the director. Form DIR-3 is the selection only available for existing corporations. It means with effect from January 2018, the applicant necessary not file Form DIR-3. Now DIN can be applied within SPICe form for up to three directors.

3. Name Approval Application: The next step while consolidating an OPC is to choose on the name of the Company. The name of the Company will be in the form of “ABJ (OPC) One Person Company Private Limited”.

There are 2 choices available for taking name endorsed by making application in Form SPICe 32 or by utilizing RUN Web administration of MCA by providing just 1 favored name alongside the centrality of keeping that name. 4. Documents Required: We have to make the following documents which are needed to be submitted to the ROC:

A. The Memorandum of Association (MoA) which are the things to be developed by the Company or asserting the business for which the company is operating to be incorporated.

B. The Articles of the Association (AoA) which puts down the by-laws on which the company will manage.

C. Since there are just a one Director and a part, a candidate in the interest of such individual must be designated on the grounds that in the event that he gets weakened or kicks the bucket and can't play out his obligations the chosen one will perform for the chief and have his spot. His assent in Form INC – 3 will be brought with his PAN card and Aadhar Card.

D. Proof of the registered office of the offered Company along with the ownership proof and a NOC from the owner.

E. Affidavit and Approval of the meant Director of Form INC -9 and DIR – 2 resp.

F. A report by the professional certifying that all compliances have been created.

5. Filing of forms with MCA: All these documents will be joined to SPICe Form, SPICe-AOA and SPICe-MOA along with the DSC of the Director and the professional, and will be uploaded to the MCA site for permission.

After uploading, Form 49A and 49B will be made for the PAN and TAN creation of the Company which have to be uploaded to MCA after joining the DSC of the proposed Director.

6. Issue of the Incorporation certificate: On confirmation, the Registrar of Companies (ROC) will issue a Certificate of Incorporation and we can begin our business.
